Terms & Conditions of Service

This binding agreement defines the terms and conditions that govern the access to and use of the cloud-based software-as-a-service (SaaS) platform known as ContaExperto ERP, its web interfaces, mobile applications, associated APIs, and cloud accounting support services (hereinafter, the "Service").

By registering, logging in, subscribing, or using any component of the Service, the natural or legal person (hereinafter, the "Customer" or "User") acknowledges having read, understood, and accepted in their entirety these Terms and our Privacy Policy. If you do not agree with any of these provisions, you must immediately refrain from using the platform.

ContaExperto ERP operates under a strict logical isolation architecture utilizing independent PostgreSQL schemas for each organization. This guarantees that:

• No other tenant can query, modify, or view your chart of accounts, journal entries, or vouchers.
• Dual-currency transactions (local currency / USD) are recorded with absolute ACID consistency without risk of cross-tenant contamination.
• Tax catalogs, balance sheet reports, and bank reconciliations remain strictly confidential to your corporate schema.

To access the ERP, the Customer must register an administrative user with truthful and verifiable information. The Customer is solely responsible for:

• Maintaining strict confidentiality of credentials for administrators, accountants, and auditors.
• All activities, journal entries, and vouchers registered under accounts assigned to their organization.
• Notifying ContaExperto immediately via technical support upon suspecting unauthorized access or security breaches.

ContaExperto enforces cryptographic hashing with modern algorithms (Argon2 / Bcrypt) and authenticated sessions with short-lived JWT tokens and forced session revocation upon logout.

Access to ContaExperto ERP features is offered under monthly or annual subscription tiers detailed on our Pricing & Plans page.

• Accepted Payment Methods: Interbank Mobile Payment (Pago Móvil), national bank transfers, credit/debit cards, and authorized digital gateways.
• Official Exchange Rate: For local currency transactions corresponding to plans priced in USD, the official exchange rate of the Central Bank of Venezuela (BCV) at the time of checkout is applied in real time.
• Payment Verification: Mobile Payments are subject to automatic or administrative bank reconciliation prior to definitive organization activation.
• Grace Period: In the event of recurring payment failure, ContaExperto grants a five (5) business day grace period prior to write-access suspension, without deleting stored historical records.

The Customer is and remains at all times the sole and exclusive owner of all data entered, processed, or generated in their workspace, including without limitation: charts of accounts, financial statements, payroll, invoices, journal entries, and audit documentation.

ContaExperto claims no intellectual property, commercial licensing, or data mining rights over your financial records. The Customer authorizes ContaExperto solely to host, process, and backup such records strictly to provide the agreed SaaS Service.

ContaExperto commits to utilizing commercially reasonable efforts to maintain a minimum monthly uptime of 99.5% for the production ERP Service.

• Automated Daily Backups: Incremental daily cryptographic snapshots are executed for all databases and schemas with redundant multi-region cloud storage.
• Maintenance Windows: Scheduled maintenance tasks will be announced at least 48 hours in advance outside standard business and banking hours.

All intellectual property rights, source code, NIIF accounting algorithms, user interfaces, branding, documentation, and registered trademarks belonging to ContaExperto are the exclusive property of its creators.

The Customer is granted a non-exclusive, non-transferable, revocable license to access and use the Service during an active subscription. Reverse engineering, decompilation, or unauthorized reselling of the software is strictly prohibited.

ContaExperto ERP is an advanced technological tool designed for computational assistance and systematization compliant with International Financial Reporting Standards (IFRS / NIIF).

The Customer may cancel their subscription at any time without penalty.

• Export Right: Prior to definitive decommissioning, the Customer is guaranteed thirty (30) calendar days to export all general ledgers, trial balances, and journal vouchers in open formats (Microsoft Excel, CSV, PDF, and JSON).
• Secure Purging: Upon expiration of the grace and export period, the PostgreSQL schema associated with the tenant will be securely and irreversibly purged in accordance with our retention policy.

These Terms and Conditions shall be governed by and construed in accordance with applicable laws and standard principles of international electronic commerce. Any controversy not resolved through amicable agreement shall be submitted to the competent courts of Caracas.
